Signing authority on behalf of a Dutch organisation

For each organisation, one account holder may be registered in the Mondriaan Fund’s online application system. The account holder manages the account on behalf of the organisation and signs applications and final reports that are submitted. 

Before an account is issued to an organisation, 2 things are verified:

  1. that the organisation is a legal entity, i.e. is registered with the Chamber of Commerce;
  2. that the intended account holder is formally authorised to represent the organisation as well as sign and submit applications and final reports on behalf of the organisation.

The legal entity status of the organisation and the authority of the account holder are determined on the basis of a recent extract from the Chamber of Commerce, a copy of which must be uploaded together with the account application. The extract must not be older than 12 months.

If the director of the organisation is another organisation according to the extract from the Chamber of Commerce, e.g. a private limited company, then an extract from the Chamber of Commerce of that organisation is also required to verify that the account holder has signing authority.

Determining signing authority and the need for authorisation

Signing authority is determined on the basis of the extract from the Chamber of Commerce, as the account holder acting on behalf of the organisation is required to have formal signing authority. Anyone who is not listed as authorised in the Chamber of Commerce extract may also be an account holder by being granted authorisation.

No authorisation required:

Full signing authority

If you are listed in the Chamber of Commerce extract as having unlimited authority or independent authority or as an authorised representative, you have signing authority and no authorisation is required.

Authorisation required:

Jointly authorised

If you are jointly authorised, an authorisation is required from the other authorised persons listed in the extract certifying that you have signing authority on behalf of your organisation. This authorisation must be signed by all jointly authorised persons.

If your organisation’s articles of association state that some of its directors are also authorised to represent it – frequently 2 directors acting jointly -, then only (those) 2 directors, are required to sign the authorisation. However, in that case, we also require a copy of your organisation’s articles of association to verify that representative authority.

Limited signing authority

If your authority is limited to a maximum amount, we require an authorisation from your board of directors stating that that financial limit does not apply to applications to the Mondriaan Fund.

Not authorised according to the Chamber of Commerce extract

If you are not authorised according to the extract from the Chamber of Commerce, your board of directors, or an officer listed in the extract as an authorised representative or as independently authorised, may authorise you to submit applications and final reports to the Mondriaan Fund on behalf of your organisation.

Other situations:

Municipalities and municipal bodies

Municipalities and municipal bodies are registered with the Chamber of Commerce. If you are not listed as a signing officer in the extract, we need a document that enables us to verify your authority. Such a document might be a mandate register or an appointment resolution, for example. If the document only describes the powers of your position, we need verification that you hold that position.

Church bodies

Only the national umbrella organisations of church bodies are required to be registered with the Chamber of Commerce. Church congregations, parishes and other church bodies under the national umbrella organisation are not required to register separately.

If your church body is not registered with the Chamber of Commerce, you can ask the national umbrella organisation to prepare a declaration of legal personality. In this declaration, the umbrella organisation certifies that your church body is a legal entity under the national umbrella organisation and lists the persons who have signing authority on behalf of your church body. Upload that declaration with the account application, together with an extract from the Chamber of Commerce for the national umbrella organisation.

Authorisation form

To simplify the authorisation and signing authority procedure, the Mondriaan Fund has created a standard form that can be used to grant authorisation. The authorisation form is available here.

If you use your own authorisation document, please note that the authorisation text must grant a general authorisation to submit applications to the Mondriaan Fund. An authorisation that only applies to a specific project or a specific application is not sufficient, because an account with the Mondriaan Fund allows you to submit multiple applications over a prolonged period of time and under various schemes.
